The Illinois Good Standing Certificate(Also referred to as the Illinois Certificate of Status or Illinois Certificate of Existence) is an official document issued and bearing the seal of the Illinois Secretary of State that certifies that the legal entity is registered with the State of Illinois and is compliance with all state required reporting and tax formalities.
The Office of the Illinois Secretary of State will issue a Certificate of Good Standing to any domestic or foreign profit, nonprofit corporation or LLC/LLP that was duly registered or formed within the State of Illinois and has met the following requirements.
Requirements to be eligible for a Certificate of Good Standing: • Your entity must be registered within your State as a Corporation, LLC or LLP
• You must have filed all annual reporting as required by your State
• Your entity must have paid all State mandated fees and taxes in a timely fashion
